These Terms of Service ("Terms") constitute a legally binding agreement between you and Deltawave, Inc. governing your access to and use of the Deltawave platform and related services. By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Acceptable Use

You agree to use Deltawave's Services only for lawful purposes and in accordance with these Terms. You may not use the Services to transmit unlawful, harmful, or objectionable content; to violate any applicable laws or regulations; to infringe upon the intellectual property rights of others; to introduce malware or disruptive code; or to attempt unauthorized access to any systems or networks. We reserve the right to suspend or terminate accounts that violate these provisions.

Subscription and Payment

Deltawave offers subscription-based plans billed monthly or annually. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. You authorize us to charge your payment method on a recurring basis. Failure to maintain a valid payment method may result in suspension of your access to the Services. We reserve the right to modify pricing with 30 days' written notice to existing subscribers.

Intellectual Property

Deltawave and its licensors own all rights, title, and interest in the Services, including all software, algorithms, interfaces, documentation, and trademarks. These Terms do not grant you any rights to use Deltawave's trademarks, logos, or brand assets without prior written permission. You retain all rights to the data you upload to the platform; by using the Services, you grant Deltawave a limited license to process your data solely to provide the Services to you.

Limitation of Liability

To the maximum extent permitted by applicable law, Deltawave's total liability arising from or related to your use of the Services shall not exceed the fees paid by you in the twelve months preceding the claim. In no event shall Deltawave be liable for indirect, incidental, special, consequential, or punitive damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court for intellectual property violations. If you are a consumer in the EU, you may also have recourse through local consumer protection laws and the EU Online Dispute Resolution platform.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before the changes take effect.
